Honesty, integrity, trust , openness, performance orientation , responsibility, mutual respect, respectability and above all commitment to the organization are the integral elements of corporate governance.
At BSDL the directors and the management have developed a model for governance that aligns the values of the corporate participants which is periodically evaluated for its effectiveness.
 
BSDL has kept in mind the commonly accepted principles of corporate governance, namely, rights and equitable treatment of shareholders , interest of other shareholders, role and responsibility of the board, integrity and ethical behaviour and last but not the least disclosure and transparency. BSDL respects the rights of the shareholders and help them to exercise those rights by effectively communicating information that is understandable and accessible. BSDL recognises the legal and other obligations they have towards all their stakeholders
 
The BSDL board has wide range of skills and understanding to deal with various business issues and have the ability to review and challenge management performance. Generally issues are raised regarding the appropriate mix of executive and non-executive directors for which at BSDL the key role of chairperson and CEO is not held by the same person.
 
BSDL has developed a code of conduct for its directors and executives that promotes ethical and responsible decision making. BSDL leave no doubt in the minds of the shareholders thus provides the shareholders with a level of accountability and disclosure of material matters concerning the company is timely and balanced to ensure that all investors have access to clear, factual information.
 
Our Company believes that having the complete cooperation and participation of their employees meant improved efficiencies and, consequently, superior products.. And it also believes that strong commitment from investors and other stakeholders can lead to similar payoffs for the company. Both are elements of a corporate governance template which demands that broad-based systems of accountability be built into the spinal structures of companies. Government regulations can be a guide, at best, in this process. More important is a culture of self-policing which is well followed at our company.
 
The Chief executive officer, defines the BSDL approach as “corporate governance is the true commitment of a corporation towards every person associated with it. And the definition fits in the right place only by proper enforcement that can affect the overall credibility of a regulatory system “
